Welcome to Wave Solutions AI LLC (“Wave AI,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of all services, products, software, and websites provided by Wave Solutions AI LLC (the “Services”).

By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. By using our Services, you affirm that you meet these requirements.

2. Description of Services

Wave AI provides AI-powered automation systems, intelligent voice/text agents, and integrations for business operations. Services are provided on a subscription and/or custom setup basis. We reserve the right to modify or discontinue any portion of the Services at any time, without notice or liability.

3. Fees & Payment

All pricing is provided in writing before engagement.

• Setup fees are due in full before service delivery begins and are non-refundable.
• Monthly subscription payments are automatically billed unless canceled in writing at least 15 days prior to the next billing cycle.
• Chargebacks or unauthorized disputes will result in immediate suspension of Services and may be pursued through legal collection.

4. Client Obligations

You agree to:

• Provide accurate and complete information;
• Use the Services for lawful business purposes only;
• Maintain the confidentiality of any login credentials or private access;
• Not misuse or reverse-engineer any proprietary workflows or agents.

You are solely responsible for any data submitted through our platform and for ensuring your use complies with all applicable laws and industry regulations.

5. Intellectual Property

All workflows, software, system logic, agent scripts, branding, and documentation created by Wave AI are the exclusive property of Wave Solutions AI LLC. Clients are granted a non-transferable, non-exclusive license to use our systems during their active subscription. Reproduction, resale, or redistribution is prohibited unless explicitly authorized in writing.

6. Confidentiality

All information shared between you and Wave AI in the course of business—including business plans, workflows, pricing, and automation processes—is considered confidential. Neither party shall disclose such information to any third party without written consent, unless required by law.

7. Disclaimers

All Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. This includes no guarantee of:

• Specific financial results;
• Uptime or performance of third-party platforms;
• Error-free output from AI agents.

You understand that AI and automation systems have inherent limitations, and you accept these risks when using the Services.

8. Limitation of Liability

To the maximum extent permitted by law:

• Wave Solutions AI LLC shall not be liable for indirect, incidental, or consequential damages, including lost revenue, business interruption, or reputational harm;
• Our total liability for any claim shall not exceed the amount you paid us in the prior 90 days;
• By using Wave AI, you expressly acknowledge and agree that we are not responsible for any failure, breach, or event outside of our control, including but not limited to third-party outages, cyberattacks, user-side security failures, or global events.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wave Solutions AI LLC and its officers, employees, agents, and partners from any claims, liabilities, losses, damages, or legal fees arising from:

• Your use or misuse of the Services;
• Violation of these Terms;
• Any third-party claim related to your data or conduct while using our Services.

10. Termination

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, including non-payment, misconduct, or misuse. Upon termination:

• Your right to access or use our Services will cease immediately;
• All pending balances are due;
• You must cease using all materials and systems provided.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Sheridan, Wyoming, under the rules of the American Arbitration Association. You waive the right to participate in any class action.

12. Modifications

We reserve the right to update or modify these Terms at any time. Changes become effective upon posting. Continued use of our Services constitutes acceptance of the revised Terms.
